Terms of service

These terms are an agreement between Pinpoint Online ("we", "us") and the company that signs up for VEGA ("the customer", "you"), and they also apply to every person the customer invites. VEGA is the software service at https://vegai.online: work management, sales, finance, people and an AI studio for advertising and marketing agencies. By creating an account, accepting an invitation or using VEGA, you agree to these terms and to our privacy policy. If you accept them for a company, you confirm you may bind it.

1. Accounts

  • Each customer has its own company space in VEGA. The person who creates it is its owner and decides who is invited and what each person may do.

  • Use a strong password of your own and keep sign-in details private. You are responsible for what happens under your accounts; tell us at mabuadas@pinpoint.online straight away if you think an account has been misused.

  • You must give accurate details and keep them current, and you must be old enough to form a binding contract where you live.

2. Your content and data

  • Everything you put into VEGA (clients, tasks, files, messages, briefs, financial records, and the outputs and designs produced for you) belongs to you or to your clients. We claim no ownership of it.

  • You give us the permission we need to host, copy, process and display it only to run VEGA for you, keep it safe and back it up, and support you when you ask.

  • You confirm you have the right to upload what you upload, including personal data about your own clients and staff, and that you have told them how it is used where the law requires it. For that personal data you are the controller and we act on your instructions, as the privacy policy explains.

3. Acceptable use

You will not use VEGA to:

  • break any law, or infringe anyone's intellectual property, privacy or other rights;

  • send spam, unlawful marketing or messages to people who have not agreed to receive them, through the email, SMS or WhatsApp features;

  • upload malware, or try to probe, overload, break or get around the security of VEGA or reach another customer's data;

  • generate or publish content that is illegal, deceptive, hateful, sexual content involving minors, or that impersonates a real person or brand without permission;

  • resell or offer VEGA to third parties as your own service without our written agreement.

We may suspend access that breaks these rules or puts VEGA, other customers or the public at risk, and we will tell you why unless the law or an investigation prevents it.

4. AI features

  • The AI studio and other AI features send the material you choose (a brief, a client profile, post text, reference images) to the AI provider that runs the request: the platform's provider or a provider you connect with your own key. Each provider handles that material under its own terms.

  • AI output can be wrong, incomplete, or similar to other people's work. Review it before you rely on it, publish it or send it to a client. You are responsible for how you use it.

  • Do not use the AI features to produce anything section 3 forbids, and follow the usage policies of the AI provider you choose.

5. Connected services

You may connect accounts you control at other services, such as Google Ads, Google Analytics, Meta (Facebook and Instagram) ads, Twilio, Resend, or AI providers. When you connect one, you authorise VEGA to use it only for the feature you switched on, within the permissions you approved. Those services are run by others under their own terms; we are not responsible for them, and you can disconnect them at any time in Settings → Integrations or revoke access from the service itself.

6. Plans, payment and trials

  • Paid plans, prices and what each includes are shown in VEGA when you choose a plan. Prices are in US dollars unless shown otherwise, and taxes are added where the law requires.

  • Subscriptions renew for the period you chose until cancelled. You can cancel from Settings → Billing; the plan stays active until the end of the period already paid, and payments already made are not refunded unless the law requires it or we agree otherwise.

  • Card payments are taken by our payment providers (Network International and Stripe) on their own secure pages; VEGA never sees or stores your card number. Where you agree, the provider keeps the card for renewals.

  • New companies start with a 14-day free trial. If an invoice stays unpaid, a 7-day grace period follows, then the company space becomes read-only for 14 days, then it is suspended. While suspended, the owner can still pay and export the company's data; if nothing is paid within 30 days the subscription is cancelled.

  • Free credits (for example for AI image or video generation) are offered at our discretion and can be changed or ended. Usage beyond the free allowance needs your own provider key or a paid plan.

7. Availability and changes

We work to keep VEGA available and secure, publish its live status at https://vegai.online/status, and take regular backups. We do not promise it will be uninterrupted or error-free. We improve VEGA all the time and may change or retire features; if a change materially reduces what a paid plan includes, we will tell you in advance.

8. Ending the agreement

  • You can stop using VEGA at any time. The company owner can export all of the company's data and files from Settings at any time; to close the company space, the owner writes to mabuadas@pinpoint.online.

  • We may end or suspend the service for a customer that materially breaks these terms and does not put it right after notice, or immediately where the law requires it or there is serious risk to others.

  • When a company space is closed, a final export of its data is prepared for the owner, and the data is kept for a grace period (currently 30 days) so a mistaken closure can be undone. After that we permanently delete it. Copies inside backups disappear as the backups rotate (within 14 days), and we keep records the law requires us to keep, such as our own invoices.

9. Confidentiality and security

We keep your content confidential, use it only as these terms and the privacy policy allow, and protect it with appropriate technical and organisational measures: encrypted connections, separation of each company's data in the database, encrypted storage of connected-service keys, and restricted administrative access.

10. Liability

  • VEGA is provided "as is" and "as available". To the extent the law allows, we give no warranty that it fits a particular purpose, and we are not liable for indirect or consequential loss, lost profits, lost revenue, or lost data that could have been avoided by keeping your own exports.

  • To the extent the law allows, our total liability under these terms in any twelve months is limited to the fees you paid us for VEGA in those twelve months.

  • Nothing in these terms limits liability that cannot be limited by law, such as for fraud.

  • You will cover our reasonable losses from claims caused by content you upload or by your use of VEGA in breach of these terms.

11. Changes to these terms

We may update these terms. The date at the top shows the latest version. If a change is material we will tell the owners of each company space by email or in VEGA at least 14 days before it applies. Continuing to use VEGA after that means you accept the new terms.

12. Law and disputes

These terms are governed by the laws of Jordan. We will first try to settle any dispute in good faith; if that fails, the courts of Jordan have jurisdiction, unless the law of your country gives you a right to bring the claim at home.
